These Terms and Conditions (“Terms”) govern your use of the The Pratt Studios website and any services provided by The Pratt Studios Limited (“the Studio”, “we”, “us” or “our”). By accessing or using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you should not use our website or services.

The Pratt Studios provides architectural and interior design, 3D laser scanning, aerial drone photography and aerial drone film throughout the United Kingdom.

Our professional services are delivered under the guidance of the relevant professional standards and industry best practice, including those published by the Royal Institute of British Architects (RIBA), the Chartered Institute of Architectural Technologists (CIAT), the British Institute of Interior Design (BIID), and, where applicable, the UK Civil Aviation Authority (CAA).

Professional appointments are undertaken under separate written proposals and appointment agreements. Where there is any inconsistency between these Terms and an executed appointment agreement, the appointment agreement shall take precedence.

1. Use of Our Website and Services

1.1. You agree to use our website and services only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the website.

1.2. The content published on this website is provided for general information only and should not be relied upon as professional, legal, planning, technical or financial advice. Professional advice should always be obtained in relation to your particular project and circumstances.

1.3. Whilst we make reasonable efforts to ensure the information on our website is accurate and up to date, we make no representation or warranty that the content is complete, accurate or free from errors or omissions.

1.4. Access to our website is provided on an “as available” basis. We reserve the right to modify, suspend or withdraw any part of the website or its content at any time without notice.

1.5. Any enquiry submitted through this website does not constitute acceptance of an instruction or the formation of a contract. Professional services are only provided following acceptance of a written proposal or appointment agreement issued by The Pratt Studios.

2. Intellectual Property

2.1. Unless otherwise stated, all content published on this website, including text, graphics, logos, drawings, images, photographs, videos, designs and other materials, is the intellectual property of The Pratt Studios Limited or its licensors and is protected by applicable intellectual property laws. No content may be copied, reproduced, distributed, modified or otherwise used without our prior written consent.

2.2. All drawings, designs, reports, specifications, models, schedules, visualisations, photographs, surveys and other documents prepared by The Pratt Studios in connection with our professional services remain the intellectual property of The Pratt Studios unless otherwise agreed in writing.

2.3. Upon payment in full of all fees due under the relevant appointment, clients are granted a non-exclusive, non-transferable licence to use the documents prepared by The Pratt Studios solely for the purpose of the project for which they were produced.

2.4. No drawings, reports, models or other documents prepared by The Pratt Studios may be copied, reproduced, modified, assigned, licensed, distributed or used for any other project or purpose without our prior written consent.

2.5. The Pratt Studios reserves the right to use drawings, photographs and other project information for its portfolio, website, social media, marketing, publications and award submissions, provided that no confidential information is disclosed without the client’s prior consent where such consent is reasonably required.

2.6. Any intellectual property rights belonging to third parties shall remain vested in their respective owners.

3. Orders and Payments

3.1. All quotations, proposals and fee estimates issued by The Pratt Studios are valid for 7 days from the date of issue unless otherwise stated in writing.

3.2. A contract for professional services is only formed when the Client accepts a written proposal or appointment agreement issued by The Pratt Studios.

3.3. A deposit may be required before the commencement of the Services. Unless otherwise stated within the relevant proposal or appointment agreement, no Services will commence until the required deposit has been received in cleared funds.

3.4. Payment terms will be set out within the relevant proposal or appointment agreement. Unless otherwise agreed in writing, invoices are payable within 7 days of the invoice date.

3.5. The Studio reserves the right to invoice for the Services in accordance with the agreed payment schedule. Any outstanding balance shall become due in accordance with the relevant proposal or appointment agreement.

3.6. The Studio reserves the right to suspend or withhold the Services where any invoice remains unpaid beyond its due date.

3.7. The Studio may withhold the release of drawings, reports, specifications, models, submissions or any other deliverables until all outstanding fees relating to the relevant stage or appointment have been paid in full.

3.8. Interest may be charged on overdue accounts at a rate of 8% per annum above the Bank of England base rate, together with any compensation and recovery costs permitted by applicable legislation.

3.9. Any services requested outside the agreed scope of appointment shall be treated as Additional Services and may be subject to additional fees. No Additional Services will be undertaken without the Client’s prior approval.

3.10. Statutory fees, consultant fees and other third-party costs are payable by the Client. Where such costs are paid by The Pratt Studios on the Client’s behalf, reimbursement shall be made in accordance with the relevant proposal or appointment agreement.

4. Feedback, Complaints and Reviews

4.1. The Pratt Studios is committed to providing a professional service and values feedback from clients and website users. If you are dissatisfied with any aspect of our services, we encourage you to raise your concerns with us directly so that we have the opportunity to investigate and resolve the matter promptly.

4.2. Clients may submit complaints in accordance with the complaints procedure set out within their appointment agreement or by contacting The Pratt Studios using the contact details set out in Section 13 of these Terms.

4.3. Nothing within these Terms prevents any person from expressing an honest opinion or sharing a genuine review based upon their experience of our services.

4.4. We reserve all legal rights in respect of any false, misleading, defamatory, malicious or unlawful statements published about The Pratt Studios, its employees, directors or representatives, and may take such action as we consider appropriate to protect our business and reputation.

5. Cancellation and Consumer Rights

5.1. The cancellation provisions applicable to each appointment will be set out within the relevant proposal or appointment agreement.

5.2. Where the Client is acting as a consumer, statutory cancellation rights may apply in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

5.3. Where a Client requests that the Services commence before the expiry of the applicable cancellation period, the Client may be required to pay for any Services provided up to the date of cancellation, in accordance with the relevant proposal or appointment agreement.

5.4. Where the Services have been fully completed during the applicable cancellation period at the Client’s express request and acknowledgement, the Client’s statutory right to cancel may cease in accordance with applicable legislation.

5.5. Any request to cancel an appointment should be made in writing using the contact details set out in Section 13 of these Terms.

6. Liability

6.1. The Pratt Studios shall perform its professional services using reasonable skill, care and diligence, exercising the standard of care reasonably expected of a professional architectural and design practice.

6.2. Information published on this website is provided for general guidance only and should not be relied upon as professional advice. Professional advice should always be obtained in relation to your specific project and circumstances.

6.3. The Pratt Studios cannot guarantee the outcome of any planning application, Building Regulations application, Listed Building Consent, statutory approval or any other third-party decision, as these are determined by external authorities beyond our reasonable control.

6.4. The Studio shall not be liable for any loss or damage arising from information, documents or instructions provided by the Client or any third party which are inaccurate, incomplete or misleading.

6.5. The Studio shall not be liable for any indirect or consequential loss, including (but not limited to) loss of profit, loss of revenue, project delays or contractor claims, except where such liability cannot lawfully be excluded.

6.6. Nothing within these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.

6.7. The detailed liability provisions applicable to any professional appointment shall be those contained within the relevant proposal or appointment agreement.

7. Client Responsibilities

7.1. Clients are responsible for providing all information, documentation, instructions and approvals reasonably required to enable The Pratt Studios to perform the agreed Services.

7.2. Clients must ensure that any information, drawings, surveys, reports or other materials supplied to The Pratt Studios are accurate, complete and up to date.

7.3. Clients are responsible for obtaining any permissions, consents or approvals from third parties necessary for The Pratt Studios to carry out the agreed Services, unless otherwise expressly agreed in writing.

7.4. Clients should review all drawings, reports and other documentation issued by The Pratt Studios and notify us promptly of any errors, omissions or requested amendments.

7.5. Delays in providing information, approvals, access to the site or instructions may affect the programme for the Services and may result in additional fees where additional work becomes necessary.

7.6. The detailed responsibilities of the Client applicable to any professional appointment shall be those set out within the relevant proposal or appointment agreement.

8. Privacy

8.1. The Pratt Studios is committed to protecting your privacy and processing personal data in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

8.2. Details of how we collect, use, store and protect personal information are set out within our Privacy Policy, which forms part of these Terms.

8.3. By using our website or engaging our Services, you acknowledge that your personal information will be processed in accordance with our Privacy Policy.

9. Force Majeure

9.1. Neither The Pratt Studios nor the Client shall be liable for any delay or failure to perform its obligations where such delay or failure arises from events beyond its reasonable control.

9.2. Such events may include, but are not limited to, acts of God, extreme weather, flood, fire, epidemic or pandemic, war, terrorism, civil unrest, industrial action, strikes, government action or restrictions, changes in legislation, interruption of utilities, failure of communication networks, cyber incidents, or any other event beyond the reasonable control of the affected party.

9.3. Where a Force Majeure event affects the performance of the Services, The Pratt Studios will use reasonable endeavours to minimise disruption and resume the Services as soon as reasonably practicable.

10. Termination

10.1. Either party may terminate a professional appointment in accordance with the terms set out within the relevant proposal or appointment agreement.

10.2. The Pratt Studios reserves the right to suspend or terminate access to its website or refuse to provide Services where it reasonably believes that these Terms have been breached, unlawful activity has occurred, or it is otherwise entitled to do so by law or under the relevant appointment agreement.

10.3. Upon termination of a professional appointment, the Client shall remain liable for all fees, disbursements and expenses properly incurred up to the date of termination, together with any other sums due under the relevant proposal or appointment agreement.

10.4. Termination shall not affect any rights, remedies, obligations or liabilities accrued by either party prior to the date of termination.

11. Changes to these Terms

11.1. The Pratt Studios reserves the right to amend or update these Terms from time to time where necessary, including to reflect changes in legislation, regulation, professional practice or the Services we provide.

11.2. Any revised Terms will become effective upon publication on our website unless otherwise stated.

11.3. The Terms applicable to a professional appointment shall be those in force at the date the relevant proposal or appointment agreement is accepted, unless otherwise agreed in writing by both parties.

12. Governing Law and Jurisdiction

12.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

12.2. The courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms, except where applicable consumer protection legislation provides otherwise.

12.3. Where a dispute relates to a professional appointment, the parties are encouraged to seek to resolve the matter amicably before commencing formal legal proceedings.
